Effective October 27, 2026. Last updated October 27, 2026.
These Terms of Service (the "Terms") are an agreement between Anise Labs LLC ("Anise", "we", "us") and the insurance agency or other business that signs up for or uses the Anise service (the "Agency", "you"). They govern the Agency's and its Authorized Users' use of the Anise application, the Anise mailbox connections for Microsoft 365 and Google Workspace, the Anise inbound mail address, and the website at www.aniseops.com (together, the "Service").
If the Agency has signed a separate order form or master agreement with Anise, that document controls where it conflicts with these Terms. By connecting a mailbox, inviting a user, forwarding mail to an Anise address or otherwise using the Service, the Agency agrees to these Terms. The person who accepts them represents that they are authorized to bind the Agency.
1. What the Service is
Anise is a utility for commercial insurance account managers. It reads the servicing mail and documents the Agency directs to it, works out what each email asks for and which customer and policy it concerns, reads policy documents page by page into verified, quoted facts, and builds tools on those facts: today, an insured's profile and a renewal comparison of an expiring policy against its renewal quotes with a drafted client summary. Filing of emails and documents and other services are added over time.
The Service is built to stay behind the account manager:
- A person decides. Every email is held for a person unless deterministic checks are certain; nothing the Service drafts is sent to an insured, a carrier or any client of the Agency by Anise. The Agency's staff review and send.
- Facts, not advice. The Service reports what documents state, each value next to the quote it was read from. It does not judge the adequacy of coverage and gives no insurance, legal or financial advice.
- Email is treated as untrusted input. The Service never follows instructions contained in an email.
2. Accounts and Authorized Users
2.1 The Agency's administrator invites its staff ("Authorized Users") and assigns each a role (viewer, reviewer or admin). Only people employed or engaged by the Agency may be Authorized Users. Each account is for one named person; credentials may not be shared.
2.2 Multi-factor authentication is required for every account. Authorized Users must keep their credentials confidential and the Agency must tell us promptly at patrick@aniseops.com of any suspected unauthorized access.
2.3 The Agency is responsible for its Authorized Users' use of the Service and for removing access when a person leaves or changes roles.
3. Customer Data
3.1 "Customer Data" means the emails, attachments, documents, records and configuration the Agency submits to the Service, whether by mailbox connection, forwarding, upload or entry in the application, and everything the Service derives from them (extracted facts, profiles, drafts, labels and review decisions).
3.2 The Agency owns its Customer Data. The Agency grants Anise a non-exclusive license to host, process, read, transmit, display and create derived works from Customer Data only as needed to provide, secure, support and improve the Service for the Agency, and as described in the Anise Privacy Statement.
3.3 Anise does not sell Customer Data, does not use it for advertising, and does not use it to train or fine-tune artificial intelligence or machine learning models. We may use measurements derived from the Agency's own review decisions (for example, how often the Service's suggestion was accepted) to measure and improve the Service's accuracy for the Agency.
3.4 The Agency represents that it has the rights, consents and notices required by law to submit Customer Data to the Service, including any notice to its own staff and clients that their communications are processed by a service provider, and that it uses the Service in compliance with the laws that apply to it (for example the Gramm-Leach-Bliley Act and state insurance data security laws, where they apply).
3.5 Customer Data from one Agency is kept apart from every other Agency's by construction: each Agency is a separate tenant, and a person sees only their own Agency's tenant.
4. Mailbox connections and the inbound address
4.1 Connecting a mailbox. The Agency may connect Microsoft 365 or Google Workspace mailboxes to the Service, up to the number of mailbox connections its purchased plan includes (section 7). Consent is given by an administrator of the Agency's Microsoft Entra or Google Workspace tenant through Microsoft's or Google's own consent screen. The Agency represents that the person consenting is authorized to do so for the Agency and for the mailboxes connected.
4.1a Allowed domains and addresses. The Agency's configuration names the email domains and addresses the Service treats as the Agency's own (its staff domains and the addresses allowed to forward mail to it) and as its known partners (carriers, wholesalers and other allowed sender domains). The number of such domains and addresses the Agency may configure is governed by its purchased plan. The Agency is responsible for keeping them accurate: an address or domain listed as the Agency's own is trusted as the Agency, and mail from it is handled as staff mail.
4.2 What the connection does. The connection reads messages and attachments from the mailboxes or folders the Agency designates, so the Service can process them as described in section 1. Where the Agency turns on filing, the connection writes the labels, folder moves or copies that filing requires to the designated mailbox. The connection does not delete messages and does not send mail from any user's mailbox: mail from Anise to the Agency is sent from Anise's own addresses. The Service requests the narrowest permissions that support these functions, and only functions that exist in the Service.
4.3 Revoking the connection. The Agency may revoke consent at any time in its Microsoft Entra admin center or Google Admin console, or by asking us. Revocation stops all reading immediately; Customer Data already processed is handled under section 9.
4.4 The inbound address. Instead of, or in addition to, a connection, the Agency may forward or route mail to the dedicated address Anise assigns to it. Everything received at that address is Customer Data under section 3.
4.5 Third-party terms. Use of Microsoft 365 or Google Workspace with the Service is also subject to Microsoft's and Google's terms. Anise's use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.
5. Acceptable use
The Agency and its Authorized Users will not:
- use the Service for any purpose other than the Agency's own insurance servicing work;
- submit mail or documents the Agency has no right to process, or data of individuals under 18 collected knowingly for that purpose;
- attempt to access another Agency's tenant, probe or circumvent security controls, or interfere with the Service's operation;
- reverse engineer, copy or resell the Service, or use it to build a competing product;
- send anything the Service drafts to a client without a person's review, or represent the Service's output as insurance advice;
- incur unnecessary cost to the Service by requesting renewal comparisons, certificates or other products that will not be distributed to the Agency's clients, or by routing mail or documents to the Service that it has no servicing use for, unless Anise has explicitly authorized that use in writing (for example for an agreed evaluation or training exercise);
- use the Service in violation of law, including insurance, privacy and anti-spam laws.
Anise may suspend access that threatens the security or integrity of the Service, with notice where practical. Where use causes unnecessary cost in breach of this section, Anise may also charge the Agency for that use at its then-current rates after notifying the Agency's administrator.
6. Artificial intelligence and output
6.1 The Service uses language models and optical character recognition to read mail and documents. Every value the Service shows is tied to a verbatim quote from a page or email, and values that fail the Service's checks are not shown as facts. Even so, machine reading is imperfect: an output may be incomplete, misread or outdated.
6.2 The Agency is responsible for reviewing every output before relying on it or sending anything based on it to a client, carrier or other third party. The Service's drafts and summaries are prepared for the Agency's licensed staff to check; they are not a substitute for the Agency's professional judgement and are not advice.
6.3 Where the Service lets a reviewer confirm, correct or finish a task, that action is the Agency's decision and is recorded as such.
7. Fees
7.1 Fees, billing periods and payment terms are those shown when the Agency signs up or stated in its order form. Fees are billed monthly in advance through our payment processor. Anise will give the Agency's administrator at least 30 days' notice of a change in fees.
7.1a Plan limits. The Agency's purchased plan states the number of mailbox connections, the number of allowed domains and addresses (section 4.1a), the number of Authorized Users and any volume of mail, documents or products (renewal comparisons, certificates and other outputs) it includes. Use beyond a plan's limits requires an upgrade or Anise's written agreement; Anise may decline to process what exceeds a limit and will tell the Agency's administrator when a limit is reached.
7.2 Features marked as preview or beta are offered as they are, may change or be withdrawn, and are covered by these Terms.
8. Intellectual property and confidentiality
8.1 Anise owns the Service, its software, models of operation, documentation and the templates, labels and layouts it produces, excluding Customer Data. Nothing in these Terms transfers that ownership. Feedback the Agency gives may be used by Anise without obligation.
8.2 Each party will protect the other's confidential information with at least reasonable care, use it only under these Terms, and disclose it only to people who need it and are bound by confidentiality. Customer Data is the Agency's confidential information. Confidential information excludes what is public, independently developed or rightfully received from a third party. A party may disclose confidential information where law requires, with notice where lawful.
9. Term, termination and data return
9.1 These Terms apply from the Agency's first use of the Service until terminated. Either party may terminate for convenience on 30 days' written notice, or immediately if the other party materially breaches these Terms and does not cure within 15 days of notice.
9.2 On termination the Agency's access ends and Anise stops reading the Agency's mail. For 30 days after termination the Agency may request an export of its Customer Data in a common machine-readable format. After that period, or earlier on the Agency's written request, Anise deletes the Agency's Customer Data from its active systems within 90 days and from backups as those backups expire, except where law requires retention or where the data is held in an incident or legal record. Section 8.2, section 10, section 11 and section 12 survive termination.
10. Warranties and disclaimers
10.1 Anise warrants that it will provide the Service with reasonable skill and care and will not materially reduce its security measures during the term.
10.2 Otherwise the Service is provided "as is". To the extent permitted by law, Anise disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of output and non-infringement. Anise does not warrant that the Service will be uninterrupted, error-free or that every email or document will be read correctly. The Service does not provide insurance, legal, tax or financial advice.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused. Each party's total liability under or in connection with these Terms is limited to the fees the Agency paid to Anise in the 12 months before the event giving rise to the claim or, where no fees were paid, USD 1,000. These limits do not apply to a party's breach of section 8.2, to a party's indemnification obligations, to the Agency's payment obligations, or to liability that cannot be limited by law.
12. Indemnification
The Agency will defend and indemnify Anise against third-party claims arising from Customer Data the Agency submitted without the right to do so, from the Agency's use of the Service in breach of law or section 5, or from anything the Agency sent to its clients based on the Service's output. Anise will defend and indemnify the Agency against third-party claims that the Service, used as permitted, infringes a United States patent, copyright or trademark, and may at its option modify the Service, procure a license or terminate the affected feature with a refund of prepaid fees for the unused period. The indemnified party will give prompt notice, reasonable cooperation and sole control of the defense to the indemnifying party.
13. Changes to the Service and these Terms
Anise may change the Service over time. Anise may update these Terms by posting the new version at www.aniseops.com/terms with a new "Last updated" date and, for a material change, by notifying the Agency's administrator at least 30 days in advance. Continued use after the effective date is acceptance of the new Terms. A change required by law or to protect security may take effect sooner.
14. General
14.1 Governing law and venue. These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. The state and federal courts located in Philadelphia County, Pennsylvania have exclusive jurisdiction, and each party consents to it.
14.2 Notices. Notices to Anise go to Anise Labs LLC, 301 Kater Street, Unit 1, Philadelphia, PA 19147, and patrick@aniseops.com. Notices to the Agency go to its administrator's email address on file. Notice is effective on receipt.
14.3 Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all assets, with notice.
14.4 Export and government use. The Agency will comply with United States export laws in its use of the Service.
14.5 Entire agreement. These Terms, the Privacy Statement and any order form are the entire agreement between the parties about the Service and replace prior discussions. If a provision is unenforceable, the rest remains in effect. Waivers must be in writing.
14.6 Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or joint venture.
